Lack of understanding of the Conflict of Interest able to cause different interpretation and a negative impact on the management of the Company. Therefore, the Company realizes the importance of a strong attitude towards the handling of Conflict of Interest which occurred in the Company, so as to create a Good Corporate Governance, as well as a harmonious relationship with all stakeholders.Thus , then drafted ‘s Conflict of Interest Guidelines are guided by the legislation in force , as well as aligned with the Code of Corporate Governance and the Code of Conduct and the values prevailing in the Company .
The purpose of the conflict of interest guidelines are :
- To understand, prevent and resolve conflicts of interest in the company , taking a firm stand against conflict of interest in the Company
- To achieve good corporate governance in accordance with the Principles of Good Corporate Governance
- Actualize the management of the company is free from all forms of corruption , collusion and nepotism

3. Handling Conflicts of Interest
Management commitment, especially in the handling of Conflict of Interest as the company’s efforts to actualize the implementation of good corporate governance.
Employee of Semen Baturaja, who has potential and or have been in a situation of Conflict of Interest PROHIBITED to continue the activities / duties and responsibilities related to the Conflict of Interest situation.
4. Conflict of Interest Reporting Mechanism
If the situation of conflict of interest happen, Employees of Semen baturaja are required to report it through :
- Direct supervisor / Head of Unit
If the complainant is employee of Semen Baturaja who involved or have the potential to be directly involved in situations of Conflict of Interest, the reporting carried out by submitting a conflicts of interest statement letter to the direct supervisor for further submitted to the corporate Secretary- Up. 5. Prevention of Conflict of Interest
To avoid the occurrence of situations of Conflict of Interest, employee of Semen Baturaja is prohibited to participate in the decision making process when there is a potential for conflict of interest and prohibited utilizing position to give preferential treatment to the family, relatives, partners and / or any other party at the expense of the Company.
